Legal Basis
This document is an official proposal (public offer) in accordance with:

Legal Force of the Document
In accordance with paragraph 2 of Article 395 of the Civil Code of the RK, a public offer is recognized as a proposal containing all essential terms of the contract, from which the will of the person making the proposal to conclude a contract on the specified terms with anyone who responds is evident. Payment for services constitutes acceptance of this offer.
Contract Contents
General Provisions
1.1. This document is a public offer by TOO «Bektek» (hereinafter — «Contractor») addressed to an unlimited number of individuals and legal entities (hereinafter — «Customer») and contains all essential terms of the contract for the provision of IT services.
1.2. In accordance with paragraph 2 of Article 395 of the Civil Code of the Republic of Kazakhstan (General Part), a public offer is recognized as a proposal containing all essential terms of the contract, from which the will of the person making the proposal to conclude a contract on the terms specified in the proposal with anyone who responds is evident.
1.3. This offer is a public contract in accordance with Article 387 of the Civil Code of the RK. The Contractor undertakes to conclude a contract with everyone who applies to it on the terms set forth in this offer.
1.4. Relations between the Contractor and the Customer are governed by Chapter 33 of the Civil Code of the RK (Special Part) «Paid Provision of Services» (Articles 683-688).
1.5. Acceptance of this offer (Article 396 of the Civil Code of the RK) is the Customer's performance of any of the following actions:
- Payment for services (full or partial prepayment)
- Order confirmation in personal account
- Signing of work completion certificate
- Actual use of service results
1.6. Acceptance means full and unconditional acceptance of the terms of this offer without any exceptions or limitations (paragraph 1 of Article 396 of the Civil Code of the RK).
1.7. The contract is considered concluded from the moment the Contractor receives acceptance (Article 393 of the Civil Code of the RK). The place of conclusion of the contract is the Republic of Kazakhstan.
1.8. The offer is valid indefinitely until its withdrawal by the Contractor. Withdrawal of the offer does not affect already concluded contracts.

Offer
This document, published on bektek.kz, containing all essential terms of the contract for paid provision of IT services.
Acceptance
Full and unconditional acceptance of the offer terms by payment for services or other conclusive actions (paragraph 3 of Article 396 of the Civil Code of the RK).
Contractor
TOO «Bektek» (BIN: 251140031036), providing IT services according to the offer terms.
Customer
An individual (legally capable, 18 years or older) or legal entity that has accepted the offer.
Services
IT services described on bektek.kz: development of CRM systems, chatbots, web applications, integrations and other services according to the catalog.
Site
Internet resource located at bektek.kz, including all its pages and subdomains.
Technical Specification (TS)
Document defining requirements for service results, agreed by the parties.
Service Results
Finished product (software, integration, configured system) transferred to the Customer upon completion of work.
Предмет договора
3.1. The Contractor undertakes to provide the Customer with IT services in accordance with the selected tariff/product on the Site, and the Customer undertakes to pay for these services.
3.2. Essential Contract Terms
In accordance with Article 393 of the Civil Code of the RK, the essential terms of this contract are:

3.3. List of services, their cost, terms and execution procedure are indicated on the corresponding pages of the service catalog on the Contractor's Site and are an integral part of this contract.
3.4. For complex projects, the parties may agree on an individual technical specification, which becomes an appendix to this contract.
3.5. In accordance with Article 684 of the Civil Code of the RK, the Contractor undertakes to provide services personally, unless otherwise provided by the contract. The Contractor has the right to involve third parties to perform individual work while maintaining responsibility to the Customer.

The contract is considered concluded from the moment payment is credited
4.2. In accordance with Articles 393-396 of the Civil Code of the RK, the contract is considered concluded from the moment:
- Payment is received on the Contractor's account
- Or payment is confirmed by the payment system
- Or acceptance-transfer certificate is signed (for non-cash payments by legal entities)
4.3. A response agreeing to conclude a contract on other terms is considered a refusal of acceptance and a new offer (Article 396 of the Civil Code of the RK).
4.4. The Contractor has the right to refuse to conclude a contract if there are justified reasons (provision of false data, violation of terms previously, etc.).

5.1. Service Cost
- • Service cost is indicated on the Site in tenge (KZT)
- • Prices include all applicable taxes (including VAT, if applicable)
- • Current prices are indicated on each service page
- • The Contractor has the right to change prices without prior notice
- • Price changes do not apply to already paid orders

5.3. Payment Procedure:
- For individuals: 100% prepayment or installment payment according to service description
- For legal entities: by invoice with deferral up to 5 business days or prepayment
- For large projects: installment payment according to payment schedule
5.4. For legal entities, the Contractor provides:
- Invoice for payment
- Work completion certificate
- Invoice (if necessary)
- Other documents upon request
5.5. Payment obligation is considered fulfilled from the moment funds are credited to the Contractor's account.
Сроки оказания услуг
6.1. Сроки оказания услуг указаны в описании каждой услуги на Сайте и являются существенным условием договора.
6.2. Исполнитель приступает к выполнению работ в течение 1 (одного) рабочего дня после поступления оплаты (или подписания договора для ЮЛ).
6.3. Ориентировочные сроки по категориям услуг

6.4. В случае возникновения обстоятельств, влияющих на сроки выполнения, Исполнитель уведомляет Заказчика в течение 24 часов.
6.5. Сроки могут быть продлены по соглашению сторон в случаях:
- Внесения изменений в техническое задание
- Задержки предоставления информации Заказчиком
- Обстоятельств непреодолимой силы
- По взаимному согласию сторон
6.6. Просрочка выполнения более чем на 30 календарных дней без уважительных причин даёт Заказчику право на расторжение договора и возврат средств.
Порядок оказания услуг
7.1. Этапы выполнения работ
7.2. Исполнитель информирует Заказчика о ходе выполнения работ по запросу или в соответствии с согласованным графиком.
7.3. Заказчик обязан предоставить необходимую информацию и доступы для выполнения работ в течение 3 рабочих дней с момента запроса.
7.4. Исполнитель вправе приостановить работы при непредоставлении Заказчиком необходимой информации. Срок выполнения продлевается на период задержки.
Права и обязанности сторон
8.1. The Contractor undertakes
- А.Provide services with quality and on time: perform work in accordance with the technical specification and service description on the site, observing terms indicated in the contract or service description.
- Б.Maintain confidentiality: not disclose the Customer's confidential information (business processes, client data, financial information) for 3 years after contract completion.
- В.Inform about work progress: provide information about work execution status upon Customer's request or according to the agreed schedule (at least once a week for projects longer than 7 days).
- Г.Provide technical support: provide technical support during the warranty period (30 calendar days) to eliminate defects that arose due to the Contractor's fault.
- Д.Transfer result in agreed format: transfer the finished product (source code, access, documentation) in the format indicated in the technical specification or service description.
- Е.Eliminate defects during warranty period: free eliminate identified defects within 5 business days from the moment of Customer's request, if defects arose due to the Contractor's fault.
8.2. The Contractor has the right
- А.Request necessary information: require the Customer to provide all necessary information, documents and access for work execution within 3 business days from the moment of request.
- Б.Involve third parties: involve subcontractors to perform individual work while maintaining full responsibility to the Customer for quality and execution terms.
- В.Suspend work for non-payment: suspend work execution if payment is delayed by more than 7 calendar days until full payment of debt, including penalties.
- Г.Refuse for violation of terms: refuse to conclude or terminate the contract if false data is provided, terms of the offer are violated previously, there is debt on previous orders.
- Д.Use general developments: use general solutions, code libraries and architectural solutions that do not contain the Customer's confidential information in other projects.
8.3. The Customer undertakes
- А.Pay for services on time: make payment in the amount and order indicated in the contract: for individuals — 100% prepayment or installment payment according to service description; for legal entities — by invoice with deferral up to 5 business days or prepayment.
- Б.Provide reliable information: provide all necessary information, documents and materials for work execution within 3 business days from the moment of Contractor's request.
- В.Accept result within established terms: accept work results within 5 business days from the moment of readiness notification or send a motivated refusal with indication of specific defects.
- Г.Comply with offer terms: not violate terms of this offer, not transfer work results to third parties without written consent of the Contractor until full payment.
- Д.Not violate third party rights: guarantee that provided materials do not violate third party intellectual property rights, and compensate the Contractor for losses in case of claims.
8.4. The Customer has the right
- А.Receive information about work progress: request information about work execution status at any time, receive response within 1 business day (for projects longer than 7 days — weekly reports).
- Б.Demand quality execution: demand work execution in accordance with the technical specification and service description, compliance of result with declared characteristics and quality requirements.
- В.Refuse services (with payment of expenses): refuse contract execution before work starts with refund of prepayment minus actually incurred expenses (but not less than 20% of prepayment amount); after work starts — with payment for actually performed work (not less than 50% of contract cost).
- Г.Demand defect elimination: demand free elimination of defects during warranty period (30 calendar days), if defects arose due to the Contractor's fault, with elimination within 5 business days.
- Д.Contact support: contact support service by email legal@bektek.kz or through personal account to resolve issues related to work execution, receive response within 1 business day.
- Е.Demand refund for delay: demand refund of paid funds if work execution is delayed by more than 30 calendar days without valid reasons, with refund within 10 business days.
Приёмка работ
9.1. По завершении работ Исполнитель уведомляет Заказчика о готовности результата по email или через личный кабинет.
9.2. Заказчик обязан в течение 5 (пяти) рабочих дней:
- Принять работу без замечаний, или
- Направить мотивированный отказ с указанием конкретных недостатков
9.3. При отсутствии ответа в указанный срок работа считается принятой без замечаний.
9.4. Для юридических лиц приёмка оформляется актом выполненных работ, подписываемым обеими сторонами.
9.5. Немотивированный отказ от приёмки не допускается. Заказчик обязан указать конкретные недостатки со ссылкой на ТЗ или описание услуги.
Гарантийные обязательства
10.1. The Contractor provides warranty on performed work for 30 (thirty) calendar days from the moment of acceptance, unless otherwise indicated in the service description.
10.2. During the warranty period, the Contractor free eliminates defects that arose due to the Contractor's fault.
10.3. Warranty does not apply to defects that arose due to:
- Actions of the Customer or third parties
- Changes in third-party software (API, platforms)
- Violation of operation conditions
- Modification of result without Contractor's consent
- Force majeure circumstances
10.4. Warranty defect elimination term: up to 5 business days from the moment of request.
Интеллектуальная собственность и лицензии
11.1. Все элементы платформы BEKTEK (готовые CRM‑решения, чат‑боты, интеграции, шаблоны сайтов и форм, программный код backend и frontend, библиотеки, модули, компоненты интерфейса, архитектура решений, структура баз данных, документация, дизайн и фирменный стиль) являются объектами интеллектуальной собственности ТОО «Бектек» и защищены Законом РК «Об авторском праве и смежных правах», Гражданским кодексом РК и международными договорами.
11.2. Права на конкретный результат работ (настроенная CRM, чат‑бот, интеграция, сайт, иное IT‑решение), созданный по заказу Заказчика в рамках настоящей оферты, переходят к Заказчику в виде неисключительного права использования после полной оплаты соответствующего заказа, если иное прямо не указано в описании услуги или индивидуальном договоре. До момента полной оплаты все исключительные права на результат работ принадлежат Исполнителю.
11.3. Передача прав по пункту 11.2 не означает передачу прав собственности на исходный код, внутренние библиотеки, общие модули, архитектурные решения и другие разработки BEKTEK. Заказчик получает право использовать результат работ в своём бизнесе, но не вправе:
- Перепродавать решение как самостоятельный программный продукт третьим лицам
- Распространять или публиковать исходный код решения
- Передавать доступ к исходному коду или административным панелям третьим лицам в целях разработки конкурирующих продуктов
- Удалять или изменять уведомления об авторских правах BEKTEK
11.4. Исполнитель сохраняет право использовать общие решения, модули, библиотеки, алгоритмы, схемы интеграций и иные технологические наработки, не содержащие конфиденциальную информацию Заказчика, в других проектах и продуктах BEKTEK, в том числе предоставляемых иным клиентам.
11.5. Материалы Сайта (дизайн, тексты, изображения, структуры страниц, база знаний, документация, обучающие материалы) являются интеллектуальной собственностью Исполнителя и не могут быть скопированы, переработаны или использованы в коммерческих целях без письменного согласия Исполнителя.
11.6. Заказчик гарантирует, что предоставляемые им материалы (логотипы, тексты, фотографии, базы клиентов и иные данные) не нарушают права третьих лиц на результаты интеллектуальной деятельности и средства индивидуализации. В случае предъявления претензий третьих лиц к BEKTEK, связанных с такими материалами, Заказчик обязуется самостоятельно урегулировать такие претензии и возместить BEKTEK все понесённые убытки.
Конфиденциальность и данные
12.1. Стороны обязуются не разглашать конфиденциальную информацию, полученную в ходе исполнения договора. К конфиденциальной информации, в частности, относятся:
- Техническая документация, архитектурные схемы и исходный код
- Бизнес‑процессы, скрипты, коммерческие условия и ноу‑хау Заказчика
- Персональные данные пользователей и клиентов Заказчика
- Финансовая информация и отчёты
- Условия индивидуальных договоров и коммерческие предложения
12.2. Обработка персональных данных Заказчика и его клиентов осуществляется в соответствии с Законом РК «О персональных данных и их защите» иПолитикой конфиденциальностиИсполнителя. Используя Сервис, Заказчик подтверждает получение согласий субъектов данных в объёме, необходимом для законной обработки данных в Сервисе.
12.3. BEKTEK использует данные, обрабатываемые в Сервисе, для следующих целей:
- Оказание услуг и исполнение обязательств по настоящей оферте (работа CRM, чат‑ботов, интеграций, отчётности)
- Техническая поддержка, диагностика и устранение неисправностей
- Обеспечение информационной безопасности и предотвращение мошенничества
- Анализ и улучшение качества работы Сервиса на основе обезличенных и агрегированных данных
12.4. BEKTEK has the right to use anonymized and aggregated data on Service usage (metrics, logs, conversion statistics, typical work scenarios), which do not allow identification of specific individuals and do not disclose the Customer's trade secrets, for analysis, development and training of its own models and algorithms, as well as for improving the quality and functionality of the BEKTEK platform.
12.5. BEKTEK does not use the contents of the Customer's client databases (names, contact details, correspondence texts, uploaded documents) to train publicly available models in such a way that other clients gain access to this data or to specific commercial features of the Customer's business. Use of such data is permitted only to the extent necessary for providing services to the Customer, or in anonymized and aggregated form.
12.6. Confidentiality obligations are valid for 3 (three) years after contract completion, unless a longer period is provided for by an individual contract or law.
Ответственность сторон
13.1. The parties are liable for non-performance or improper performance of obligations in accordance with the legislation of the RK.
13.2. In accordance with Article 359 of the Civil Code of the RK, the debtor is obliged to compensate the creditor for losses caused by non-performance or improper performance of the obligation.
13.3. The Contractor's liability is limited to the amount of the paid order.
13.4. The Contractor is not liable for indirect losses, lost profits, data loss.
Форс-мажор
14.1. The parties are released from liability for non-performance of obligations in case of force majeure circumstances (Article 359 of the Civil Code of the RK).
14.2. Force majeure circumstances include: natural disasters, military actions, epidemics, acts of state bodies, mass infrastructure failures.
14.3. The party is obliged to notify the other party about force majeure within 5 business days.
Разрешение споров
15.1. All disputes are resolved through negotiations.
15.2. Claim procedure is mandatory. Claim consideration term is 15 business days.
15.3. If agreement cannot be reached, the dispute is transferred to court at the Contractor's location.
15.4. The legislation of the Republic of Kazakhstan applies to relations between the parties.
Расторжение договора
16.1. In accordance with Article 683 of the Civil Code of the RK, the Customer has the right to refuse contract performance subject to payment to the Contractor of actually incurred expenses.
16.2. The Contractor has the right to terminate the contract in case of material violation of terms by the Customer.
16.3. Refund procedure upon termination is determined by Политикой возврата.
Защита прав потребителей
17.1. Rights of the Customer — an individual are protected in accordance with the Law of the RK «On Protection of Consumer Rights» dated May 4, 2010 No. 274-IV.
17.2. The Customer has the right to file a complaint with the authorized body for consumer rights protection.
17.3. Claims for consumer rights protection are exempt from state duty (Article 44 of the Law).
Заключительные положения
18.1. This offer comes into force from the moment of its placement on the Site.
18.2. The Contractor has the right to make changes to the offer. Changes come into force from the moment of publication and do not apply to already concluded contracts.
18.3. Invalidity of individual provisions of the offer does not entail invalidity of the entire offer.
